1.1

Acceptance of the Terms

Before using any of our products or services, you must read, understand, and agree to these Terms of Use and Privacy Policy. By accessing or otherwise using our platform, you confirm that you agree to these Terms of Use and that our Privacy Policy will process your data and electronic communications on our platform.


These Terms of Use govern your use of the platform and the relationship between you and MOBI Automation FZCO, a limited liability company incorporated pursuant to Law No. 16 of 2021 issued by H.H. the Ruler of Dubai and the implementing regulations of the Dubai Integrated Economic Zones Authority (DIEZ). MOBI Automation FZCO serves as the engineering and technical development team responsible for building and maintaining the City of Atlantus (COA) ecosystem and its applications. References to “us”, “we”, or “our” mean MOBI Automation FZCO. “You” refers to the person accessing or using the platform.

1.2

Eligibility

To access or use the platform, you must be of legal age under the laws of your jurisdiction. The platform is provided solely for your personal, non-commercial use. You are not permitted to access or use the platform if your account has been suspended or terminated by us. We grant you a limited, non-exclusive, non-transferable license to access and use the platform and its Services. This license is conditional upon your compliance with these Terms of Use and is granted at our discretion. We may suspend, restrict, or revoke this license at any time, with or without notice.

1.3

Account & ID Creation

1.3.1

Decentralised Identity Framework:

The account and identity creation process is designed to provide users with a secure, blockchain-based digital identity. Each user’s Unique Identifier, herein referred to as the “Virtual Mining and Construction Company (VMCC) License,” is linked to your wallet, enabling secure participation across the COA dApp. This License serves as a persistent digital identity, enabling personalized interactions while preserving user privacy and data sovereignty through decentralized architecture.

1.3.2

VMCC Verification:

Access to the ADA Offshore Builder Account is restricted to verified VMCC Builder DAO Members only. To begin registration, users must hold a COA Genesis Key in their wallet and complete onboarding via the VMCC Workstation, where the system issues a VMCC License. The License issued serves as the foundational credential for interoperability across all COA-linked services, ensuring seamless integration with dApps and DAO utilities.

1.3.3

Passcode Validation & Wallet Binding:

Once a user obtains a VMCC License, it is linked to the wallet address provided during registration and verified through a passcode validation process conducted by an authorised OBA Agent. This process confirms control of the wallet and establishes it as the active transaction address for the account.


The license-to-wallet binding is recorded on-chain to ensure transparency, traceability, and auditability. While the wallet is used for transactions and protocol interactions, the user’s account remains tied to their verified identity rather than any specific wallet.


If a user changes their wallet, they retain access to their account and may complete a secure re-binding process to link the VMCC License to a new wallet. This preserves identity-based access while maintaining a clear on-chain record of the currently active wallet.

1.3.5

Referral Attribution & Wallet Linkage:

Where a wallet is identified as being linked to a VMCC account, the system performs an automated check to determine the original referring VMCC account associated with that user. Upon verification, the account is attached to the same referral structure, and all referral rewards, bonuses, or incentives generated by that account are routed to the original referring VMCC account. This linkage is enforced at the system level to maintain consistency, prevent reassignment or manipulation of referral relationships, and ensure accurate reward distribution across the ecosystem.

1.3.4

Interoperable Architecture:

The platform’s architecture is designed for frictionless cross-platform functionality, linking VMCC identities to COA-enabled services. By combining VMCC DAO membership checks, Agent-issued passcodes, and blockchain-verified License, the system ensures only pre-approved entities can participate. Offshore Builders Account reserves the right to introduce additional security measures, preserving interoperability without compromising governance or security standards.

2.

SECTION 2: GENERAL TERMS

2.1

Risks

2.1.1

You expressly agree that you assume all risks connected to your use of the service and your interaction with the platform. To the extent permitted by applicable law, you waive and release us from any liability, claims, causes of action, or damages arising from or relating to your use of the interface or your interaction with the platform.

2.1.2

You acknowledge and agree that the platform facilitates your interaction with decentralized networks and related technology. We do not control any blockchain or digital assets, do not guarantee that any transaction you submit or receive will be confirmed on the relevant blockchain, and cannot process, reverse, cancel, or modify any transaction. To the extent permitted by applicable law, we bear no responsibility for any delays, failures, or losses resulting from blockchain operations or network conditions.

2.1.3

You are solely responsible for the security and management of your wallet, private keys, seed phrases, and any associated credentials. We do not store, hold, or recover private keys or access credentials and cannot assist with the recovery, restoration, or replacement of a lost, compromised, or inaccessible wallet. To the extent permitted by applicable law, any loss of access to your wallet or credentials is solely your responsibility.

Financial or Legal Advice

2.2.1

The information presented on this platform is created by MOBI Automation and is intended for general informational purposes only. MOBI Automation does not offer investment, estate planning, legal, tax, accounting, financial, or any other form of advice through this platform. The content provided on this platform should not be considered a substitute for seeking advice from professional advisors in the respective fields.

2.2.2

This platform and its content should not be interpreted as an offer to sell or a solicitation for the sale of securities. MOBI Automation is not authorized to sell or solicit the sale of securities in the United States or any other jurisdiction where such sale or solicitation is prohibited. None of the products described on this platform, or offered by MOBI Automation, is or will be registered with or approved by the United States Securities and Exchange Commission or any state or jurisdiction’s securities commission. This platform is not available to persons or entities located in the United States.

2.2.3

You expressly confirm that your use of this platform is entirely voluntary and initiated by your own independent decision. We have not encouraged, pressured, or influenced your participation in any way. Furthermore, you agree not to use any information provided through this platform for offering, selling, or facilitating any securities transactions that would violate applicable securities laws in any jurisdiction.

2.3

Third-Party Providers

MOBI Automation neither owns, operates, nor controls MetaMask, Trust Wallet, Token Pocket, Google Chrome, or any other third-party site, product, service, or digital wallet you may use to access or interact with our platform. We do not endorse, guarantee, or assume responsibility for the functionality, security, or reliability of any such third-party services. You acknowledge and agree that any access, transaction, or interaction you conduct through these third parties is at your own risk. MOBI Automation shall not be liable for any direct, indirect, incidental, consequential, or other damages, including but not limited to loss of funds, data, or digital assets, arising from the acts, omissions, or errors of any third-party services, or your use of them in connection with our platform.

2.4

Ownership

Minting or the purchase of any of our Non-Fungible Tokens (NFTs) or interacting with any of our protocols is not to be construed as an ownership or shareholding right of our company. We reserve the sole right to decide the channel or percentage of reward, which may be subject to change from time to time.

2.5

Updates and Amendments

We reserve the right to amend these Terms of Use from time to time and disclose such amendments by way of announcement on the platform. We will also update the "Last Updated" date at the top of these Terms without sending a separate notice of the changes. The date when the amendment is made will be indicated on the first page of the amended Terms. You shall browse this website from time to time and follow the information regarding the timing and content of amendments to these Terms. If you do not agree with the modifications, you shall stop using the services offered by this website immediately; if you continue to use the services provided by this website, it shall be deemed that you accept and agree to be bound by the amended Terms

2.6

Records

Genesis Keys and other intangible digital assets exist solely by the ownership records maintained on the Build and Build (BNB) Chain. All smart contracts are executed on the decentralized ledger of the BNB Blockchain. We have no control over and make no guarantees or promises concerning the ownership record stored on the blockchain network.

3.

SECTION 3: THE INFORMATION ON OUR PLATFORM

3.1

Service Availability and Unavailability Errors

The platform is provided “as is” without guarantees. Intermittent outages or errors may occur due to network or technical issues. We use commercially reasonable efforts to maintain operation. Scheduled maintenance may require temporary downtime with notice where feasible. Emergency maintenance may occur without prior notice.

3.2

Changes and Restrictions

We reserve the right to implement functional, procedural, or technical changes and to temporarily or permanently restrict, remove, or terminate platform features or access. We will use commercially reasonable efforts to provide prior notice of material changes affecting core functionality where practicable. Any such changes or restrictions do not create any obligation on the platform to provide compensation, reimbursement, or damages to users.

3.3

Accuracy of Information

While the platform endeavors to provide accurate information, we do not guarantee its reliability, completeness, or suitability for any purpose. You acknowledge that all reliance on information is at your own risk, and we disclaim any liability for direct, indirect, consequential, or incidental damages arising from such reliance

4.

SECTION 4: USER ACCESS & THIRD-PARTY INTEGRATIONS

4.1

Account Security & Credentials

Access to and utilization of the platform's services shall be exclusively facilitated through third-party private key management solutions, including but not limited to MetaMask, Trust Wallet, or other similar digital wallet providers as selected by the user. It is expressly understood and agreed by all parties that:

4.1.1

Third-Party Security Framework

The security protocols, encryption standards, and protective measures implemented by the selected third-party private key manager shall constitute the security infrastructure governing access to the platform. Neither the platform nor its affiliates shall be responsible for any breaches, vulnerabilities, or failures originating from or related to the third-party private key management system.

4.1.2

Risk Assumption

Utilization of the platform's services in conjunction with third-party wallet providers shall be undertaken entirely at the user's own risk. The platform explicitly disclaims all liability for the losses arising from unauthorized access to user accounts, theft or misappropriation of digital assets due to private key exposure, and operational failures or security deficiencies of third-party wallet providers.

4.2

External Linking and Brand Representation

Entities or individuals intending to establish hyperlinks from external websites to the platform must adhere to the following stipulations:

4.2.1

Link Specifications:

Permissible link text shall be strictly limited to one of the following formulations: "Offshore Builder Account" or "Link to [Offshore Builder Account]". Any deviations from these prescribed formulations shall constitute a violation of these terms.

4.2.2

Content Regulations

The hosting website must not contain, display, or promote content that is unlawful, defamatory, obscene, or otherwise objectionable as determined by the platform's sole discretion, or material that infringes upon intellectual property rights or proprietary interests, or information that could be construed as fraudulent, deceptive, or misleading.

4.2.3

Brand Integrity Provisions

Under no circumstances shall the linking entity imply or suggest any form of affiliation, partnership, or endorsement by the platform without express written authorization or utilize the platform's trademarks, logos, or branding elements in a manner that could dilute, tarnish, or otherwise harm the platform's reputation or engage in activities that may create confusion regarding the relationship between the external site and the platform.

4.2.4

Compliance and Enforcement

The platform may revoke linking privileges at any time without prior notice and require removal of non-compliant links within three (3) days, which may be reasonably extended upon request. Links must not imply affiliation or endorsement, display altered logos, or otherwise mislead or harm the platform’s reputation. The platform may pursue legal remedies for violations.

5.

SECTION 5: PRODUCTS AND CURRENCY

5.1

Protocol and Reward Generation Protocols

5.1.1

The Offshore Builder Account provides access to blockchain-based instruments, including Direct FDA, Stack FDA, and Offshore Bonds, represented as NFTs or digital bonds. These interact with decentralized finance protocols and offer variable reward opportunities (APYs). Some products require specific credentials or authorization codes.

5.1.2

All APYs are fixed and may be subject to adjustment based on protocol performance and market conditions. Users acknowledge that participation in these protocols carries inherent risks associated with decentralized finance systems, including but not limited to smart contract vulnerabilities, market volatility, and protocol-specific risks.

5.1.3

The platform reserves the right to alter participation requirements, modify access control mechanisms, or adjust reward generation parameters at any time as determined necessary for operational or strategic reasons.

5.2

Digital Assets And Transaction Processing

5.2.1

Currency Supported

The platform currently supports USDT as the primary digital currency for deposits with the possibility of additional currencies being added in the future at the platform's sole discretion.

5.2.2

Currency Conversion Mechanism

All deposited USDT are automatically converted to Gold PRLZ, the platform's native transactional token, at a fixed 1:1 parity with USDT (1 Gold PRLZ = $1.00). This conversion occurs immediately upon deposit and before any transactional activity.

5.2.3

Gold PRLZ

The Gold PRLZ serves as the exclusive medium for all transactions within the platform, including reward participation, asset transfers, and withdrawals. Its fixed dollar peg provides stability and uniformity across all operations, eliminating exchange rate fluctuations and simplifying value measurement. Users benefit from a standardized transactional framework, where all transactions are conducted in Gold PRLZ after the initial currency conversion.

5.2.3

Withdrawals

To preserve long-term value and ensure the sustainability of the ecosystem, conversions from Gold PRLZ into external currencies are subject to a standard 50% exit adjustment. This mechanism is not positioned as a penalty but as a core economic safeguard designed to stabilize the system, discourage speculative withdrawals, and uphold the integrity of the platform’s value structure. Participants are encouraged to engage with Gold PRLZ primarily as an internal utility and growth asset rather than a short-term exchange token, thereby aligning user behaviour with the platform’s overall mission of stability and collective gain.

6.

SECTION 6: PROTOCOLS AND FEATURES

6.1

Direct Fixed Deposit Account (Direct FDA)

6.1.1

The Direct Fixed Deposit Account (Direct FDA) is a structured digital asset product that allows participants to deposit USDT and earn rewards in Gold PRLZ over a fixed two-year period. Rewards are distributed quarterly and are determined by the participant’s EVT holdings within the ecosystem.

6.1.2

Direct FDAs are built using Fixed Deposit Units (FDUs), which represent individual deposit blocks within an account. Each deposit is created as a separate FDU, and users can hold multiple FDUs under a single FDA. Additional capital contributions are made by creating new FDUs rather than modifying existing ones. All FDUs within an FDA earn rewards at the same EVT-based rate assigned to the account, unless the participant’s EVT holdings increase, in which case the applicable rate may be adjusted accordingly. Each FDU operates on its own independent two-year tenure, calculated from its creation date. The minimum deposit required to create an FDU is $250 USDT

6.1.3

Reward rates are determined by EVT holdings and applied uniformly across all FDUs within an FDA. Participants holding 

  1. 54 EVTs earn 44% APY, 

  2. 9 EVTs earn 34% APY, 

  3. 1 EVT earns 24% APY. 


All rewards are calculated based on deposited capital, are distributed and withdrawable quarterly in Gold PRLZ.

6.1.4

Early principal withdrawals incur progressively reduced penalties:


  1. 25% penalty if withdrawn in Q1 (months 1-6)

  2. 20% penalty if withdrawn in Q2 (months 7-12)

  3. 15% penalty if withdrawn in Q3 (months 13-18)

  4. 10% penalty if withdrawn in Q4 (months 19-24)


Upon completion of the full two-year cycle, the principal becomes withdrawable at full value in USDT. All withdrawals remain subject to the platform’s prevailing conversion and exit mechanisms

6.1.5

The platform maintains strict compliance protocols to ensure system integrity. If you are found violating platform terms or engaging in suspicious activities may face immediate account restrictions, including but not limited to suspension of platform access, revocation of wallet privileges within the Offshore Builder Account, exclusion from the platforms, and any other corrective measures deemed necessary. These provisions safeguard all participants while maintaining the protocol's operational security and long-term viability.

6.1.6

This structured instrument provides you with predictable reward opportunities while aligning participant incentives with the ecosystem's sustained growth through its carefully designed withdrawal penalties and tax mechanisms. The combination of fixed deposit security with blockchain-native flexibility positions the Direct FDA as a cornerstone product within the ecosystem’s financial architecture.

6.1.7

Genesis Key rewards are allocated based on the value of a participant’s initial deposit and are issued incrementally across defined tiers. Deposits between;


  1. $800 and $7,199 qualify for a Yard, 

  2. $7,200 and $21,599 qualify for a Plot, 

  3. $21,600 and above qualify for an Acre. 

6.1.8

The Direct FDA structure aligns participant incentives with long-term ecosystem growth by combining flexible deposit units, EVT-based reward tiers, and a disciplined withdrawal framework. This model provides a clear and predictable reward structure while encouraging sustained participation within the ecosystem.

7.

SECTION 7: TRANSACTION AND PROCESSING

7.1

Cancellations and Non-Refundable Policy

Transactions can only be canceled before on-chain execution. Once approved by your wallet, transactions are irreversible. The platform may reject any post-submission cancellation. Wallet approval constitutes absolute confirmation, after which no transaction can be reversed under any circumstances.

7.2

Transaction Pauses and Restrictions

We reserve the right to limit, suspend, or halt any transaction on the platform, including but not limited to deposits, and other in-system actions, without liability for any alleged damages resulting from such restrictions. This includes pausing deposits for compliance, security, or operational reasons.

8.

FEES AND WITHDRAWALS

8.1

Fees

Deposits require loading funds into a digital wallet. Gas fees and any transaction or transfer fees apply and may fluctuate. Withdrawals default to Gold PRLZ; conversion to USDT incurs a system deduction.

8.2

Delay & Processing

We are not liable for delays in processing deposits, withdrawals, or mint requests. While we aim for timely execution, delays may occur due to network conditions or compliance checks.

9.

SECTION 9: APPLICATION BINARY INTERFACE (ABI) & API TERMS OF USE

9.1

License Grant & Restriction

Subject to strict compliance with these Terms and any additional agreements with MOBI Automation, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the ABI solely for the processes and protocols on our platform. Interacting with approved smart contract functions in accordance with our documentation. Prohibited uses include: Reverse engineering, decompiling, or modifying the ABI or API, using the ABI or API for unauthorized off-platform transactions or third-party integration, or exploiting the ABI for arbitrage, spam, or disruptive network activity.

9.2

Availability & Disclaimers

The ABI may be intermittently unavailable due to maintenance, upgrades, or force majeure events. We are not responsible for incorrect orders, failed transactions, or losses due to ABI malfunctions or misuse. We may update, deprecate, or restrict ABI functionality without prior notice.

9.3

API Terms (If Applicable)

If accessing our API (Application Programming Interface), you further agree to the rate limits and adhere to published request thresholds. Retrieved data may only be used for internal purposes and resale or public redistribution is prohibited. The API keys are confidential; you are liable for unauthorized use.

9.4

Termination & Enforcement

We reserve the right to suspend or revoke ABI/API access for violations, security risks, or platform integrity concerns or impose limits on functionality (e.g., disabling specific methods) at our sole discretion.

10.

Section 10: DISCLAIMER AND LIMITATION OF LIABILITY

10.1

Accuracy of Information and No Guarantees

We endeavor to verify the accuracy of any information displayed, supplied, passing through, or originating from the Services or Products, but such information may not always be accurate or current. We cannot and provide no guarantee whatsoever to the timeliness, accuracy, or completeness of any information (whether pricing, exchange rate, or otherwise) provided in connection with any Digital Asset, Service, or Product. Accordingly, you should independently verify all information before relying on it, and any decisions or actions taken based upon such information are your sole responsibility, and you assume all liability for any such decisions or actions.

10.2

Disclaimer of Warranties

MOBI AUTOMATION DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DATA ACCURACY, SYSTEM INTEGRATION, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. All services and products are provided “as is” and “as available.” We make no warranties regarding the content, information, or functions of the services or products, including any third-party links, or the security of information transmitted through the services or continuous, uninterrupted, timely, or error-free access to the services or products. Except as expressly stated in this agreement, no warranties are made for the benefit of any end user. By using the services, you acknowledge that you have not relied on any other representation or warranty from MOBI Automation or its affiliates.

10.3

Indemnification

You agree to indemnify and hold harmless MOBI Automation its affiliates, subsidiaries, directors, managers, members, officers, employees, and other customers, from any claims, demands, actions, damages, losses, costs, or expenses, including, without limitation, reasonable legal fees, arising out of or relating to your or any other person’s use of your credentials or the account in connection with:


  1. use of the Services or Products;

  2. a reversal of payment instructions by you which results in a negative account balance;

  3. breach of this Agreement or any other policy;

  4. false, incomplete, or misleading information relied upon by us to verify your identity and source of funds, where applicable;

  5. violation of any Applicable Law; or

  6. violation of any rights of any other person or entity;


This indemnity shall apply to your successors and assigns and shall survive any termination or cancellation of this Agreement.

10.4

Limitation of Liability

Under no circumstances shall we or any of our officers, directors, employees, contractors, agents, affiliates, or subsidiaries be liable to you for any indirect, punitive, incidental, special, consequential, or exemplary damages, including (but not limited to) damages for loss of profits, goodwill, use, data, or other intangible property, arising out of or relating to any access or use of the platform. We will not be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized use of the interface or the information contained within it. We assume no liability or responsibility for any:

10.4.1

Unauthorized access or use of any secure server or database in our control, or the use of any information or data stored therein.

10.4.2

Personal injury or property damage of any nature whatsoever, resulting from any use of the interface.

10.4.3

Errors, mistakes, or inaccuracies of content.

10.4.4

Interruption or cessation of function related to the interface.

10.4.5

Bugs, viruses, trojan horses, or the like that may be transmitted to or through the interface.

10.4.6

Errors or omissions in, loss or damage incurred as a result of the use of any content made available through the interface.

10.4.7

The defamatory, offensive, or illegal conduct of any third party.

Note that under no circumstances shall we or any of our officers, directors, employees, contractors, agents, affiliates, or subsidiaries be liable to you for any claims, proceedings, liabilities, obligations, damages, losses, or costs in an amount exceeding the amount you purchase.

10.5

Unavailability & System Risks

This limitation of liability applies regardless of the legal basis, including contract, tort, negligence, or strict liability, even if we were advised of potential damages. Some jurisdictions may not allow certain exclusions or limitations, so parts of this agreement may not apply. To the fullest extent permitted by law, this limitation remains effective.

10.6

Indirect Damages

Any liability for indirect damages, including but not limited to consequential damages, loss or damage of data, loss of profits, business opportunity, revenue, or goodwill, as well as the loss of our assets, is excluded. We will not be liable for “exemplary or punitive damages”.

10.7

Exclusion of Digital Asset-Based Damages

Under no circumstances will we be required to deliver Digital Assets as damages, and you waive any right to specific performance or similar remedies. If damages are calculated based on the value of Digital Assets, such valuation will be determined by the lowest market value of the relevant Digital Asset between (a) the date the claim arose and (b) the date damages are awarded.

11.

SECTION 11: WARRANTIES & INDEMNIFICATION

11.1

User Warranties

You represent and warrant that:

11.1.1

Legal Capacity

You are of legal age, sound mind, and fully capable of entering binding agreements for blockchain transactions.

11.1.2

Organizational Authority

If acting on behalf of any entity, you are duly authorized to bind them to these Terms. The entity accepts liability for your actions.

11.1.3

Risk Acknowledgement

You have thoroughly read these Terms (including Section 2: Risk Disclosure), understand all associated risks, and have had the opportunity to request clarifications.

11.1.4

Regulatory Compliance

Neither you nor affiliated parties are subject to sanctions or investigations under AML/CTF, anti-corruption, or economic sanction laws or engaging in unlawful activities through our Platform

11.1.5

Proper Platform Use:

You will not disrupt Platform functionality or use it for fraudulent/harmful purposes.

11.1.6

Wallet Ownership

All provided deposit/withdrawal addresses are exclusively owned and controlled by you.

11.2

You agree to defend and indemnify MOBI Automation against all third-party claims arising from your breach of these Terms, unauthorized use of the Platform/APIs, or violations of applicable laws.

12.

SECTION 12: STORAGE

The platform operates a hybrid data storage framework. Certain information, including transactional records and smart contract interactions, is stored on a decentralized blockchain, ensuring immutability, transparency, and public verifiability by design. Other information, including personal, system, or membership-related data, is stored off-chain in secure environments subject to technical and organizational safeguards.

12.1

While reasonable measures are implemented to protect off-chain data, no system can provide absolute security or uninterrupted availability. Users acknowledge and accept that data stored on-chain is immutable and publicly visible, and that off-chain storage carries inherent risks of loss, corruption, or unauthorized access. The platform disclaims any liability for losses arising from these risks while following industry-standard protocols to mitigate them.

13.

SECTION 13: INTELLECTUAL PROPERTY RIGHTS

13.1

Ownership

The contents of the Website are protected by International Copyright Laws and other Intellectual Property Rights. The Intellectual Property Rights of our platform are held by us, our affiliates, or our licensor(s).
